From
discussing the benefits of a comprehensive routing system for school bus
transportation to weighing in
on considerations for cannabis licensing and regulation, Tyler leaders have shared
their expertise and
opinions in various national news stories over the past few months. In case you
missed it, here are a
few outlets where some of our subject matter experts have been featured:
- Automotive News did a video interview with Ted Thien,
vice president and general
manager of Tyler’s school transportation group. Ted discussed the Tyler Drive
solution, which provides
school bus drivers with turn-by-turn directions to each stop on their route. The
software also allows
districts to manage student ridership, employee timekeeping, and pre- and
post-trip vehicle
inspections. More than 2,400 districts use Tyler’s student transportation
software.
- Payments Dive published an opinion piece by Sloane
Wright, senior vice president
at Tyler, about the future of digital payments. He argues that people expect to
purchase goods or
services with digital options that are fast, secure, and convenient. Citizens
expect this same level
of convenience when interacting with their government, but that is often not the
reality. Tyler is
working to simplify and connect payment processes in local, state, and federal
agencies to help
enhance the payments experience.
- Marketwatch wrote an article about a potential
legalization of adult-use
cannabis in Ohio (the legislation has since passed). The article included
comments from Alex
Valvassori, managing director of cannabis licensing at Tyler, who said he would
be interested in any
potential state contracts to help Ohio with its regulatory and compliance
efforts around cannabis.
Tyler has worked with several states on adhering their cannabis programs to
changing legislation.

Tyler CFO Brian Miller comments on the recent acquisitions of ARInspect and
ResourceX.
Following our acquisition of
CSI in August, we completed two additional “tuck-in” acquisitions in October. Each
of these
strengthens existing Tyler solutions and provides additional cross-sell
opportunities to drive growth by
leveraging our client base and sales organization.
ARInspect is a leading provider of AI powered machine learning and data-driven
solutions for public sector
field operations. ARInspect’s advanced AI solution and expertise extends our
Application Platform and
other solutions. We plan to leverage ARInspect’s technology across our state and
federal verticals with
a focus on all regulated entities, including environmental protection, disaster
recovery, and human services.
ResourceX is a leader in providing priority-based budgeting software to the public
sector to address key
challenges faced in traditional budgeting processes, such as lack of funding and
transparency. With this
acquisition, we add ResourceX’s priority-based budgeting to our entire ERP
portfolio, elevating our
solutions in the public sector budgeting space and providing a unique offering.
The total purchase price for these two acquisitions was approximately $38 million in
cash and stock. Our priority for using
cash flow remains the repayment of our term debt. At the same time, we continue to
evaluate M&A
opportunities, looking for companies with a strong strategic and cultural fit like
these two, while
maintaining a disciplined approach to valuations.

Tyler participated in the 2023 S&P Corporate Sustainability Assessment (CSA),
marking our fifth year of
voluntary assessment. We are awaiting finalized scoring results and anticipate the
list of companies
earning 2024 DJSI Index Inclusion will be announced in December. The CSA enables
Tyler to benchmark our
performance on a wide range of industry specific economic, environmental, and social
criteria relevant
to a growing number of sustainability-focused stakeholders.
Additionally, efforts to elevate our corporate responsibility reporting initiatives
and assess material
risks and opportunities to our company are underway as we conduct a comprehensive
double materiality
assessment. This exercise will enhance our focus on the most material topics to
Tyler and our
stakeholders while informing our 2023 Corporate Responsibility Report.
